  3. Seller agrees that it will at any time up to July 31, 1995, upon
  4. receipt of a written request from Buyer, repurchase any of the
  5. following classes of goods sold by Seller to Buyer:

  7. microwave ovens 
  8.  
  9. which are unused (except as they may be displayed for sale) and   
  10.      in the original shipping containers, at a price equal to the
  11. full  purchase price less a restocking fee of 20% per cent of the 
  12. purchase price of such goods. Return shipping shall be paid by 
  13. the buyer. 
  14.  
  15. The Buyer may, without notice to Seller, assign his right       
  16. require repurchase of all or any goods to any bank, finance       
  17.   company or other financier to whom any security interest in the 
  18.        goods, or any of them, may be granted, and in any such
  19. event,         Seller will not assert as against any such bank,
  20. finance company        or other secured party, any right of
  21. set-off, recoupment or          counterclaim which may now exist
  22. or hereafter arise under or by        virtue of any transaction
  23. between Seller and Buyer except for the  restocking fee stated
  24. herein, and freight if applicable.

  26. Seller shall not be obligated to repurchase any goods        
  27. under this contract unless and until it shall have been furnished 
  28.        assurances which are in its opinion adequate to insure
  29. that the           goods will be delivered to Seller free and clear
  30. of any and all            liens, encumbrances, security interests
  31. and other claims of third        parties to the goods.
